These Terms of Service ("Terms") govern your access to and use of the Underlying platform provided by Dotnitron Technologies Pvt. Ltd. ("we", "us", or "our").

1. Acceptance of Terms

By accessing or using the Underlying platform, you agree to be bound by these Terms. If you are using the platform on behalf of an organization (such as a private equity firm or advisory practice), you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these terms.

2. Use of the Platform

Underlying is a deal intelligence platform designed for high-stakes workflows. You are responsible for all activity that occurs under your account. You agree not to:

• Reverse engineer or attempt to extract the source code of the platform.
• Use the platform for any illegal or unauthorized purpose.
• Upload malicious code, viruses, or harmful materials.
• Attempt to bypass the mandatory human review gate to generate unverified automated outputs for client delivery.

3. Intellectual Property and Data Rights

Your Data: You retain all rights, title, and interest in and to your data (the documents, playbooks, and facts you upload). You grant us a limited license to host, process, and analyze this data solely for the purpose of providing the service to you.

Our Platform: We retain all rights, title, and interest in the Underlying platform, including its AI orchestration engine, review gate UI, and audit logging systems.

4. Limitation of Liability

While Underlying aims to drastically improve accuracy and speed in diligence, the platform is designed as an assistive tool requiring a "human in the loop." We are not liable for any financial decisions, legal liabilities, or omissions resulting from the use of our software. The ultimate responsibility for verifying the accuracy of any output remains with the user and the human reviewer.

5. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
